Job Overview

The Counsel will be responsible for advising the business teams on a broad range of legal matters, including complex commercial agreements, real estate related matters, marketing materials, product development, manufacturing and/or IP licensing agreements and IP portfolio management. Additionally, the Counsel will manage outside counsel on various commercial, human resources matters, and related litigation, if any, and will provide advice, support and training on a variety of compliance matters. 

The Counsel will report to the Deputy General Counsel responsible for Komatsu Underground Mining. This role, located in Warrendale, PA, will be the primary designated legal support for Komatsu Underground Mining Operations, Supply Chain, Product Management, and Engineering Teams in Warrendale, PA, Franklin, PA and Charleroi, PA.  

Key Job Responsibilities

•    Review and advise on large capital equipment, raw material, finished goods and indirect sourcing purchasing contracts consistent with corporate policy and practice;
•    Draft, review and advise on a variety of equipment and service sale agreements with customers consistent with corporate policy and practice;
•    Review and advise on various real estate related matters, such as short-term and long-term real estate leases, real estate purchase and sale transactions, and real estate development agreements, and provide support in relation to environmental and other compliance issues for owned or leased real estate in US as needed;
•    Prepare and negotiate confidentiality, product development, manufacturing and/or IP licensing agreements, including software license agreements, with consultants and suppliers;
•    Review and advise on various marketing materials, product quality and/or regulatory issues, including appropriate warning labels and product corrective actions; 
•    Supervise provision of patent and trademark related legal services to Komatsu Underground Mining;  
•    Manage outside counsel on a variety of commercial and human resources matters and, if applicable, litigation matters in these areas as needed; 
•    Legal advice, training and support on variety of legal compliance matters, including compliance with the Company’s Worldwide Code of Business Conduct, compliance with FCPA and other country specific anti-corruption laws, data privacy law and antitrust law compliance, and other industry specific compliance matters; and
•    Support other legal matters as requested.


This position requires an attorney with a strong business orientation. The successful candidate should have a minimum of 5 years of legal experience, preferably garnered at both a law firm and in-house. Experience representing equipment manufacturing operations, including capital equipment and raw material purchasing arrangements is a plus. The successful candidate must be a mature, poised, self-starter with the highest ethical standards who can prioritize and handle multiple tasks successfully. Candidate must also be capable of both working independently while also functioning well as a team player. Must be a strategic and practical thinker, able to distill complex concepts, and to demonstrate strong interpersonal and communication skills. Ability to work well with a globally-diverse workforce/organization.  Domestic travel will be required periodically.
