Job Overview

The Senior Counsel will be responsible for advising the business teams on a broad range of legal matters, including complex commercial agreements, software licenses, distribution arrangements, marketing materials, human resources, intellectual property and other matters. Additionally, the Senior Counsel will participate in and manage outside counsel on various corporate, litigation and human resources matters, and provide support for the corporate secretarial function. 

Key Job Responsibilities

The Senior Counsel will report to the Deputy General Counsel and Assistant Corporate Secretary. This role, located in Chicago, Illinois, and will support operations and personnel throughout the Komatsu North America and Global Mining Solutions businesses.    

  Duties for this full-time role include:

•    Prepare and negotiate a wide variety of complex commercial agreements, including supply agreements, software licenses, confidentiality agreements, distribution documents and financing arrangements; 
•    Give legal advice and counsel to company personnel on a large number of matters on an ongoing basis, including senior personnel.  Responsibility would include in-depth, strategic, proactive counsel and guidance with respect to contract review, drafting and negotiation; transactions and business relationships; ongoing litigation and litigation risk; and general corporate counseling;
•    Review and advise on various marketing materials, product quality and/or regulatory issues, including product corrective actions; 
•    Participate in and manage outside counsel on a variety litigation, corporate and human resources matters; 
•    Provide legal advice, training and support on a variety of legal compliance matters;
•    Provide support for the corporate secretarial function; and
•    Advise on and participate in other legal matters as requested.
 

Qualifications/Requirements

This position requires an experienced attorney with a strong business orientation. The successful candidate should have 6-10 years of legal experience, preferably from both a law firm and in-house. Experience representing equipment multinationals and/or companies in the manufacturing and software/IoT industries preferred.  Some experience handling corporate transactions and advising on distribution or international matters would be a plus. The successful candidate must be a mature, poised, self-starter with the highest ethical standards who can prioritize and handle multiple tasks successfully. Candidate must also be capable of both working independently while also functioning well as a team player. Must be a strategic and practical thinker, able to distill complex concepts, and to demonstrate strong interpersonal and communication skills. Ability to work well with a globally-diverse workforce/organization.  Occasional domestic travel will be required.
